Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cited's AI Citation Optimization™ services ("Service"), operated by Cited ("we," "our," or "us") at citedagent.com. By signing up or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service

Cited provides AI Citation Optimization™ services for licensed professionals. The Service includes:

• Full PRISM™ Foundation Score audit across 13+ platforms and multiple AI engines, including major commercial AI assistants and AI-powered search platforms.
• AI-optimized profile builds and rewrites across professional platforms including Google Business Profile, LinkedIn, Yelp, Bing Places, Foursquare, Zillow, Realtor.com, FastExpert, HomeLight, Apple Business Connect, Homes.com, and YouTube.
• AI-optimized personal website — registered, built, hosted, and maintained by Cited on a domain selected for your name and market.
• Public agent profile page at citedagent.com/agents/[your-name] with full structured data markup.
• Original content creation — authority articles written in your voice and published under your name.
• Directory submissions to increase your citation presence across platforms AI models reference.
• Monthly PRISM™ Re-Scans — visibility assessments run across multiple AI models to measure and track your Foundation Score.
• Monthly performance reports with score movement, platform status, and recommended next steps.

2. Founding Member Terms

Founding members admitted to Cited's initial cohort are subject to the following terms:

• First 90 days free. You will not be billed during the founding period (days 1–90 from your start date).
• Continuation pricing. If you elect to continue after day 90, the fee is $800/month, billed monthly.
• No contracts. There is no minimum term. You may cancel at any time with no cancellation fee.
• No setup fees. There are no one-time, onboarding, or setup charges.

All profile optimizations, content, and deliverables created during the founding period remain yours regardless of whether you continue, with the exception of items described in Section 3 (Satellite Website).

3. Content & Website Ownership

Content you own: All articles, bios, and written content created by Cited on your behalf become your property upon delivery. You may use, publish, repost, or modify this content for any professional purpose without restriction. This includes all copy kit content, LinkedIn articles, and positioning statements.

Satellite website: As part of the Service, Cited registers, builds, hosts, and maintains a personal website on a domain selected for your name and market (e.g., yournamerealestate.com). Cited owns the domain registration and technical infrastructure. You own the content displayed on the site. If you cancel the Service, the satellite website will be taken offline within 30 days of your cancellation date. You may request transfer of the domain to your own registrar account for a one-time transfer fee of $900. If no transfer is requested within 90 days of cancellation, the domain registration will lapse at its next renewal date.

Your existing website: If you have an existing personal website, Cited will provide AI-optimized copy and structured data markup (schema) for you to implement. Cited does not take ownership of or administrative access to your existing website.

Aggregated data: Cited retains the right to use anonymized, aggregated performance data — such as Foundation Score movements, platform response patterns, and content performance trends — for internal research, service improvement, and marketing materials (e.g., case study statistics, average score improvements). This data will never identify you individually without your written consent.

Methodology:PRISM™, the Foundation Score methodology, scoring algorithms, signal weights, and all internal processes are proprietary trade secrets of Cited. You agree not to reverse-engineer, reproduce, distribute, or disclose any aspects of Cited's methodology, scoring system, or internal processes to any third party.

4. Client Responsibilities

By using the Service, you agree to:

• Provide accurate information. All information submitted in your intake form and profile materials must be truthful and accurate. You are responsible for the accuracy of your credentials, transaction history, and professional claims.
• Not use Cited for deceptive practices. You may not use the Service to make false claims about your experience, credentials, sales volume, or professional standing, or in any manner that violates applicable licensing laws, MLS rules, or professional codes of ethics.
• Keep your information current. If key information changes — brokerage, license status, contact information, or market focus — you agree to notify Cited promptly at hello@citedagent.com so your profiles remain accurate.
• Provide platform access through native sharing. Where platform access is needed (e.g., Google Business Profile manager access, LinkedIn page admin), you will grant access through the platform's built-in sharing features. Cited will never request or store your passwords directly.

5. The Citation Guarantee™ & Client Participation

Score movement is measured by Cited using PRISM™ scan results at day 0 (baseline) and at or before day 90. Cited's determination of Foundation Score movement is final.

Client participation requirement: We handle 87% of the work. The Citation Guarantee™ and all projected score outcomes assume reasonable client participation in the remaining 13%. Specifically, to remain eligible for the guarantee, you must:

• Complete the intake form within 7 days of enrollment.
• Review and approve your positioning statement within 7 days of delivery.
• Post your Citation Profiles to at least 4 of the recommended platforms within 14 days of delivery.
• Respond to article brief questions within 7 days of receiving the brief.
• Post approved articles to LinkedIn within 7 days of delivery.

If you do not complete required actions within the stated timeframes, Cited will send up to two reminders per action item. If no response is received within 14 days of the final reminder, your 90-day founding clock will pause until you re-engage. The Citation Guarantee™ applies only to clients who complete all required actions within the stated timeframes.

Cited is not responsible for score outcomes when a client has not completed their portion of the optimization process.

6. Limitation of Liability & Results Disclaimer

Cited provides AI Citation Optimization™ services based on current understanding of AI model behavior. AI models used in the PRISM™ scan are operated by third parties and may change their algorithms, data sources, or citation behavior at any time without notice.Cited does not control these models and cannot guarantee specific placement, ranking, or recommendation in any AI model's outputs.

The Citation Guarantee™ is based on Foundation Score improvement as measured by PRISM™, not on specific AI model outputs. Foundation Score improvement does not guarantee that you will be recommended by any specific AI model for any specific query.

Cited is not responsible for:

• Changes to AI model behavior, training data, or citation patterns that may affect your Foundation Score.
• Policy changes by Google, LinkedIn, Zillow, Yelp, or any other third-party platform that affect profile visibility or listing standards.
• Any specific business result, including but not limited to leads, transactions, commission income, or return on investment.
• Interruptions to third-party platform services that affect profile visibility.

To the maximum extent permitted by applicable law, Cited's total liability to you for any claim arising from or related to the Service shall not exceed the total fees paid by you to Cited in the 12 months preceding the claim.

7. Cancellation & Data Retention

You may cancel your Cited service at any time by emailing hello@citedagent.com. Cancellation takes effect at the end of the current billing cycle.

Upon cancellation:

• Content you keep: All articles, bios, copy kit content, and positioning statements are yours permanently.
• Profile optimizations: Any changes already posted to your platforms (GBP, LinkedIn, Zillow, etc.) remain in place — they are on your accounts.
• Satellite website: Your Cited-built personal website will be taken offline within 30 days. You may request domain transfer for a $500 fee within 90 days of cancellation.
• Dashboard access: Your citedagent.com dashboard and agent profile page will be archived 30 days after cancellation.
• Data retention: Your client data (intake information, PRISM scan results, platform URLs) will be retained for 90 days after cancellation in case you choose to reactivate. After 90 days, your data will be permanently deleted upon request.

Cited reserves the right to terminate or suspend your access to the Service if you violate these Terms, provide materially false information, or use the Service in any manner that is illegal or harmful. Additionally, Cited reserves the right to discontinue service to any client at the end of any billing period, for any reason, with written notice — just as clients may cancel at the end of any billing period.

8. Photos, Testimonials & Marketing

Headshot and photos: By providing your professional headshot and photos, you grant Cited permission to use them on your satellite website, your citedagent.com agent profile page, and within marketing materials for the Service.

Content syndication: To maximize your AI citation visibility, Cited may publish your approved articles to additional platforms (such as Medium or industry publications) beyond LinkedIn. Each syndication will use your name and approved content. You will be notified before syndication to any new platform.

Testimonials and case studies:Cited may use anonymized score improvement data (e.g., "Client improved from 5/100 to 52/100 in 90 days") in marketing materials without additional consent. Use of your name, photo, or identifiable details in testimonials or named case studies requires your written consent.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in San Diego County, California.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Service after changes constitutes your acceptance of the updated Terms. For material changes, we will notify active clients via email.
